Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, dashboard, APIs, and messaging services (together, the "Service") operated by BIP Marketing LLC ("BIP", "we", "us"), a limited liability company organized under the laws of the State of Florida, USA.
By creating an account or using the Service you agree to these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.
1. Agreement to Terms
You must be at least 18 years old and capable of entering a binding contract to use the Service. By registering, you confirm that the information you provide is accurate and that your use of the Service complies with these Terms and all applicable laws.
If you do not agree with any part of these Terms, do not use the Service.
2. The Service
BIP is a marketing messaging platform: you import and manage leads, segment them, and send campaigns over channels such as email and WhatsApp — one-time, recurring, or triggered through our API.
We may add, change, or remove features as the product evolves. Where a change materially reduces the Service, we will make reasonable efforts to notify you in advance.
3. Accounts
You are responsible for your account credentials and for all activity under your account. Keep your password secure and notify us immediately at support@bip.marketing if you suspect unauthorized access.
You must provide truthful, current information when registering and keep it up to date. We may suspend accounts created with false information or used by persons previously removed from the Service.
4. Billing and Payments
BIP is pay-per-send. Storing leads is free, every account receives 1,000 free sends each month with no credit card required, and beyond that you buy sends — the meter only runs when you send.
Purchased sends are consumed as messages are dispatched. Amounts already consumed are not refundable. Unused balances follow the expiration rules displayed at purchase, if any.
Prices may change; we will announce changes in advance through the dashboard or by email, and changes never apply retroactively to sends you have already purchased. You are responsible for any taxes that apply to your purchases.
5. Acceptable Use and Anti-Spam
BIP is a tool for messaging people who asked to hear from you. This section is the heart of these Terms — violating it is the fastest way to lose your account. You agree to all of the following:
- Only message recipients who have given you valid, provable consent (opt-in) to receive that kind of communication, and honor every unsubscribe immediately.
- Comply with all applicable messaging and data-protection laws, including CAN-SPAM (US), GDPR (EU), and LGPD (Brazil).
- When sending over WhatsApp, comply with the WhatsApp Business and Meta messaging policies, including template approval and opt-in requirements.
- Never send content that is illegal, deceptive, defamatory, or harassing, or that distributes malware, phishing, or scams.
- Never upload purchased, rented, or scraped contact lists.
- Understand that accounts generating abnormal spam complaints or bounce rates, or putting deliverability at risk for other customers, may be suspended or terminated — with or without prior notice, depending on severity.
6. Customer Data
The lead lists, contact information, and message content you bring to BIP ("Customer Data") are yours. You grant BIP a limited license to host and process Customer Data solely to operate the Service on your behalf.
You can export your Customer Data at any time. You are responsible for having the legal right — including a valid legal basis under applicable data-protection law — to upload and message every contact in your lists.
7. Intellectual Property
The Service — including the platform, software, design, and the BIP brand — belongs to BIP Marketing LLC and its licensors. These Terms grant you a right to use the Service, not any ownership in it.
If you send us feedback or suggestions, we may use them without restriction or compensation.
8. Third-Party Services
Delivery depends on third-party channels — such as Meta and WhatsApp, and email infrastructure providers — each with their own terms and availability. BIP is not responsible for outages, policy changes, or delivery decisions made by those third parties.
Links to or integrations with third-party products are provided as a convenience; your use of them is governed by their own terms.
9. Service Availability and Modifications
We work to keep the Service available and fast, but we do not guarantee uninterrupted or error-free operation. Maintenance, updates, and factors beyond our control may cause temporary unavailability.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BIP DOES NOT WARRANT THAT MESSAGES WILL BE DELIVERED, OPENED, OR ACTED UPON.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA.
BIP’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID BIP IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You will defend and indemnify BIP against claims, damages, and costs (including reasonable attorney fees) arising from your Customer Data, your campaigns, or your violation of these Terms — in particular, claims that you messaged recipients without valid consent.
13. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your account for violation of these Terms, extended non-payment, or risk to the platform.
Upon termination, your right to use the Service ends. You may export Customer Data before closing your account; after closure, we delete Customer Data within the timelines described in our Privacy Policy. Sections that by their nature should survive — including those on disclaimers, limitation of liability, indemnification, and governing law — survive termination.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Florida, and you consent to their jurisdiction.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the date at the top of this page and, for material changes, notify you through the dashboard or by email. Continuing to use the Service after changes take effect means you accept the updated Terms.
